Green Mechanical Construction, a Glasgow-based mechanical contractor with more than 250 employees, has transitioned to a 100 percent employee-owned structure through an Employee Stock Ownership Plan.
The move to an ESOP is intended to reinforce Green Mechanical’s long-term commitment to its employees, customers and communities, according to the company’s March 30 press release.
“This decision reflects a deliberate approach to preserving Green Mechanical’s culture, maintaining continuity in leadership, and positioning the company for sustained growth,” said Wes Simpson, president and CEO of GMCI. The company’s ownership is transitioning to the ESOP from Simpson, Mike Wagner, Masood Kheradmand and Don Baker, who added that the company was built by the employees, and so believes “its future should be in their hands.”
Employees will receive ownership interests in the firm over time at no direct cost, through a qualified retirement plan, according to the release. Under the ESOP structure, employees are expected to gain a long-term financial benefit, while the ownership model is designed to encourage accountability and engagement across the organization.
Leadership, management structure and day-to-day operations are not expected to change as a result of the transition.
“This structure aligns the success of the company with the people responsible for executing it and supports the kind of disciplined growth we’ve worked to build over time,” said Wagner.
Kheradmand said significant thought went into the decision and that the structure preserves what has made Green Mechanical successful while creating more opportunities for employees.
The company is headquartered in Glasgow and also operates offices in Lexington, Kentucky, and Charlotte, North Carolina, while recently expanding its operational footprint into Florida.
